Salvage Logix Terms of Service

Welcome to Salvage Logix (the “Service”), operated by Aurelian Trade LLC (“Company,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of the Salvage Logix websites, mobile apps, browser-based tools, APIs, and related services used to manage automotive inventory, photos, listing descriptions, and marketplace workflows (including integrations such as eBay).

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Definitions

User / You: Any individual or entity that creates an account or otherwise uses the Service.

Automotive Data: Information related to vehicles and parts, including but not limited to SKUs, photos, descriptions, pricing, listing content, inventory notes, vehicle attributes (for example year/make/model, VIN fragments where provided), timestamps, operational metrics, and any other data you upload, enter, or that the Service collects or generates through your use.

Subscription: Paid access to the Service where offered on a recurring basis.

Database: The Company’s internal systems and aggregated repositories built from Service activity and user-provided content, used to operate and improve the Service (including analytics, templates, and shared marketplace insights where applicable).

2. The Service

Salvage Logix is a software platform that helps automotive recyclers and parts sellers streamline intake, cataloging, listing preparation, and export-oriented workflows (including templates and tooling oriented toward third-party marketplaces). Features may include photo handling, listing HTML generation, review queues, exports, integrations, reporting, and related utilities delivered through salvagelogix.app, salvagelogix.com, mobile apps, and related interfaces.

By creating an account, subscribing, or continuing to use the Service, you agree that we may change subscription benefits, plan limits, included features, and the Service itself at any time, including adding, modifying, limiting, or removing functionality in the application, website, owner dashboard, mobile apps, and related user interfaces, with or without prior notice where permitted by law. Continued use or renewal after changes take effect constitutes your acceptance of the updated Service and subscription benefits. Such changes do not, by themselves, entitle you to a refund or credit except as required by applicable law or expressly stated in writing.

3. Eligibility and Accounts

You must be at least 18 years old and able to enter a binding contract. You agree to provide accurate account information, maintain the security of your credentials, and accept responsibility for activity under your account (including activity by users you invite).

4. Subscriptions and Payments

Where the Service is offered on a subscription basis, billing may renew automatically until canceled according to the plan you select. Fees are generally non-refundable except as required by law or expressly stated at purchase.

You authorize us and our payment processors to charge your chosen payment method for applicable fees. If payment fails, we may suspend access until the account is brought current. We may change pricing with reasonable notice; continued use after the effective date may constitute acceptance of the new pricing for subsequent renewal periods. Plan features, posting limits, team seats, and other subscription benefits are not guaranteed to remain unchanged for the life of a subscription term; see Section 2 regarding our right to modify features and benefits.

5. Data Collection, Storage, and Sharing

Salvage Logix is built around operational data you provide while running your business through the Service. By using the Service, you grant the Company a broad license to use Automotive Data as described below.

You grant us a perpetual, irrevocable, worldwide, royalty-free, non-exclusive, sublicensable, and transferable license to collect, store, host, process, modify, aggregate, analyze, and otherwise use Automotive Data to operate, secure, improve, and promote the Service, including training and tuning internal models and workflows where permitted by law.

Depending on product configuration and features you enable, aggregated or derivative insights derived from Automotive Data may be used across the platform to improve templates, tooling, benchmarks, and community-facing capabilities for paying subscribers. You retain ownership of your original uploaded content, subject to the licenses granted here; you acknowledge that aggregated datasets and derivative analytics may not identify you directly.

You represent that you have the rights and authority needed to provide Automotive Data and to grant these licenses. You will not upload content you do not have rights to use for commercial resale workflows.

6. User Responsibilities and Content

You are responsible for the accuracy and legality of your listings and related representations. You must comply with applicable marketplace policies (including eBay rules where you publish), consumer protection laws, salvage/title/disclosure requirements, export controls where relevant, and other regulations that apply to your sales.

You grant us a license to host, display, transform, and transmit your content as reasonably necessary to provide the Service.

Listing description branding (eBay and similar)

When you enable listing templates or export/publish listing descriptions through the Service to third-party marketplaces (including eBay), you agree that Salvage Logix may append a compact “Powered by Salvage Logix” co-brand footer inside the HTML description, positioned at the end of your listing footer area. We size this graphic to comply with common marketplace limits (currently 88×33 pixels for promotional images in listing bodies where that rule applies).

By using listing templates or description export/publish features, you consent to this co-branding appearing on each affected listing description unless we explicitly disable it for your account. You will not remove, hide, obstruct, or replace that footer in exported or published HTML in a way that violates marketplace rules or circumvents this requirement. You remain responsible for complying with each marketplace’s policies (including typography limits such as HTML font size 3 or smaller where required).

Any additional logos or promotional graphics you place in listing HTML must also comply with marketplace size and content rules (including the 88×33 pixel limit where applicable) unless the marketplace explicitly permits a larger size for your content.

7. AI-Assisted Features

The Service may include AI-assisted tools that help draft, summarize, or improve listing titles, item specifics, compatibility details, descriptions, notes, and related workflow suggestions. AI output is provided only as a suggestion and may be inaccurate, incomplete, outdated, duplicated, or misleading.

You are responsible for reviewing, editing, and approving all AI-generated output before using it in a listing, export, marketplace submission, customer communication, or business decision. You must verify fitment, compatibility, part condition, title wording, pricing, legal disclosures, and marketplace policy compliance before publishing.

Do not submit confidential, sensitive, regulated, payment-card, health, biometric, government ID, or other information that you are not authorized to process through AI-assisted features. Do not use AI features to create fraudulent, deceptive, illegal, unsafe, counterfeit, infringing, or policy-violating listings or content.

By using AI-assisted features, you authorize Salvage Logix to process the information you provide and related listing data to generate AI outputs, operate the feature, monitor abuse, improve reliability, and maintain records of acceptance and usage as permitted by law. We do not guarantee that AI output will be correct, compliant, non-infringing, or accepted by any marketplace, and AI output is not legal, tax, safety, or professional advice.

8. SMS Text Message Alerts

Salvage Logix may send automated text messages (SMS/MMS) to the mobile number on your account when you opt in. Messages may include yard calendar task assignments and reminders, service or outage notices, security alerts, and important platform announcements. Message frequency varies. Message and data rates may apply.

You are not required to opt in to SMS alerts to create an account or use the Service. To opt in, check the SMS alerts box when accepting these Terms or enable SMS alerts in account settings. We record the disclosure version and time of your consent.

To opt out, reply STOP to a Salvage Logix message, disable SMS alerts in account settings, or email support@salvagelogix.com. Reply HELP for help. You agree to keep your mobile number accurate and that you are authorized to receive texts at that number.

9. Prohibited Conduct

You agree not to:

• Circumvent security, probe/scrape systems outside documented interfaces, or attempt unauthorized access to data or infrastructure.
• Use the Service for unlawful, fraudulent, or deceptive listings.
• Share credentials or attempt to exceed authorized seat/access limits.
• Overload, disrupt, or misuse the Service (including excessive automated requests inconsistent with fair use).
• Use the Service to distribute malware or infringing materials.

10. Intellectual Property

The Service (excluding your original uploaded content) and our branding are owned by the Company or our licensors. You receive a limited, non-exclusive, non-transferable license to use the Service during your subscription term subject to these Terms.

11. Termination

You may cancel a subscription according to the cancellation method presented in-product or via support. We may suspend or terminate access for breach, risk, legal compliance, or non-payment.

Upon termination, your right to use the Service ends. We may retain data as required by law and as needed for legitimate business purposes, including backups and dispute resolution, consistent with our records retention practices.

12. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We are not responsible for:

• Marketplace enforcement actions, suspensions, delistings, or sales outcomes.
• Third-party services (including marketplaces, carriers, payment processors).
• Losses arising from your listings, buyer disputes, or inaccurate content.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR, IF GREATER, ONE HUNDRED DOLLARS ($100)). WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

13. Indemnification

You will indemnify and hold harmless the Company and its affiliates, officers, and employees from claims, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your listings, your Automotive Data, or your violation of these Terms or applicable law.

14. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Except where prohibited, exclusive jurisdiction and venue for disputes will be in state or federal courts located in Bexar County, Texas.

15. Changes to Terms

We may update these Terms from time to time. When we post updated Terms, we will revise the effective date and version shown at the top of this page. For material changes, we may provide additional notice (for example, email or in-product notification). Continued use after the effective date constitutes acceptance of the updated Terms, except where your explicit acceptance is required by law or by our in-product flow.

16. Miscellaneous

These Terms are the entire agreement regarding the Service and supersede prior discussions. If a provision is invalid, the remainder remains enforceable. You may not assign these Terms without our consent; we may assign in connection with a merger, acquisition, or sale of assets.
